Global Disrupt Records ("we," "us," or "our") operates www.globaldisrupt.com (the "Site"). By accessing or purchasing from the Site, you agree to these Terms, which apply to B2B wholesale partners, B2C customers, and all users globally.

1. Scope & Acceptance

  • B2B Focus: Primarily serves verified wholesale partners. Retail customers may be redirected to local affiliates.
  • Age Requirement: Users must be the age of majority in their jurisdiction or an authorized business representative.
  • Global Compliance: By using the Site, you agree to comply with laws in your jurisdiction (e.g., Australia’s Competition and Consumer Act, EU GDPR, California CCPA).

2. Modifications

We reserve the right to update these Terms. Changes will be posted on the Site, and continued use constitutes acceptance.

3. Account & Orders

  • B2B Accounts: Wholesale partners must provide valid business credentials (e.g., ABN, VAT number, etc…).
  • Order Refusal: We may refuse orders violating territorial sales agreements (e.g., resale in protected regions).
  • Currency: Prices are in AUD or USD (locked rates per Product Profiles). Fluctuations due to exchange rates are at the buyer’s risk.

4. Products & Services

  • Pre-Orders: Non-refundable (except defects). Pre-order discounts require upfront payment to fund inventory.
  • Global Stock: Sold "as-is" with no returns (see Refund Policy).
  • Stock Allocation: Fast-moving items ship from Melbourne; niche products ship bulk from US/EU/JP hubs.
  • Territorial Sales: B2B partners granted sales protection must maintain agreed stock levels. Unauthorized resale in protected regions is prohibited.

5. Shipping & Customs

  • Bulk Shipping: Optimized for cost efficiency (33–50 LPs per box). Delays may occur due to customs.
  • 3PL Partners: Orders fulfilled via Melbourne hub or international warehouses.
  • Duties/Taxes: Buyers are responsible for import fees, taxes, and customs clearance.
  • Risk of Loss: Title transfers upon delivery to the carrier.

6. Payments & Pricing

  • Bulk Discounts: Available per Product Profiles. Discounts void if margins fall below 10%.
  • Multi-Currency: AUD/USD conversions locked quarterly. Discrepancies resolved at our discretion.
  • Fraud Checks: We may request additional verification for large orders.

7. Prohibited Uses

You may not:

  • Resell products in territories protected by partner agreements.
  • Use bots/scrapers to extract pricing or inventory data.
  • Disrupt 3PL/logistics operations (e.g., false claims about shipping delays).

8. Liability & Disclaimers

  • DIY Ethos: Products sold "as-is." We do not guarantee uninterrupted access to the Site or error-free inventory management.
  • Third-Party Risks: No liability for Shopify outages, 3PL errors, or carrier delays.
  • Limitation of Liability: Total liability capped at the order value, except for gross negligence.

9. Privacy & Data

  • Global Standards: Data handled per our Privacy Policy, compliant with GDPR, CCPA, and APP.
  • B2B Data: Contact details may be shared with logistics partners for fulfillment.

10. Dispute Resolution

  • Governing Law: Disputes resolved under Australian law (Victoria).
  • Mediation: Parties agree to mediate before litigation.
  • Class Action Waiver: Claims must be brought individually.
